Company History
Alrazi Medical Company was initially established as an individual institution under the name of Alrazi Medical Pharmacy, owned by Yousef Abdullah Youssef Alorini, under Commercial Registration No. 1129000811 issued by the City of Albadaya on 10 Aug 2006, with a capital of 15000 S.R. The legal entity of Alrazi Medical Pharmacy, owned by Yousef Abdullah Yousef Alorini, was transformed into a limited liability company pursuant to the amended Articles of Association and Commercial Registry No. 1129000811 issued by the City of Albadaya on 10 Aug 2006, with a capital of 250000 S.R, divided into 10,000 cash shares of equal value. The value of each of them is 25 Saudi riyals owned by Mr. Yousef Abdullah Yousef Alorini, with a number of shares 9800 shares, and Mrs. Fawzia Sulaiman Abdullah Alsaghir, with a number of shares 200 shares. The company name was changed to become Alrazi Medical Company on 30 Jun 2021 The partners decided to amend the nominal value of the shares from 25 Saudi riyals per share to 1200 one thousand two hundred Saudi riyals per share, and to increase the company capital from 250000 Saudi riyals to 12000000 Saudi riyals divided into 10000 equal shares, fully paid, with a value of 1200 Saudi riyals per share. On 08 Feb 2021, the partners agreed to adjust the value of the company shares from 1200. per share to 10 Saudi riyals per share, and the number of shares ranges from 10000 shares to 1200000 shares of equal value, as was agreed on 08 Feb 2021, with the entry of six partners. It was renewed through Mr. Yousef Abdullah Yousef Alorini assignment of a number of his shares to them, and on 08 Aug 2021, the partners decided to transform the legal entity of the company and its branches into a closed joint stock company with its rights, obligations, employment, classifications, licenses and all Its financial, technical and administrative components, and the capital increase from 12000000 Saudi riyals divided into 1200000 shares to 15200000 riyals divided into 1520000 shares, and the value of each share is 10 Saudi riyals by issuing 320000 new shares at a value of 10 ten riyals per share, which represents 20 of the company capital, plus an issue premium of 21.72 riyals per share. It was agreed to allocate the issue premium amount of 6950400 riyals as a balance for the company to expand the activity, and it was paid by the new partners in cash, bringing the number of current partners in the company to 73 shareholders. The company was registered in the register of joint stock companies in accordance with Ministerial Resolution No. 532 issued on 20 Sep 2021, and registered under Commercial Registry No. 1129000811 issued by the City of Albadaya on 10 Aug 2006.
