Introduction | Sinad Holding Company announces to its shareholders the opening of nominations for membership of the Board of Directors for the upcoming term, which will start on 27/10/2025, and will last for three calendar years. Shareholders may nominate themselves or nominate one or more individuals, whether shareholders or non-shareholders, for Board membership. The nominated candidates will be elected during the General Assembly meeting, the date of which will be announced at a later time. |

Policy and criteria of nomination | Nominations and the election of candidates will be conducted in accordance with the rules and conditions governing Board membership as stipulated in applicable laws and regulations, as well as in accordance with the Policies, Standards, and Procedures for Board Membership approved by the General Assembly (attached). Candidates must submit the following documents within the period specified in the announcement: 1- A letter expressing the desire to nominate oneself for Board membership (as per the attached form). 2- Form No. (3) – CV for candidates for membership of the Board of Directors of a joint-stock company, issued by the Capital Market Authority, which may also be obtained from the CMA’s official website (as per the attached form). 3-Form No. (1) – CV in both Arabic and English (as per the attached form). 4- Copies of official documents, including: the National ID, Family Card (if applicable), and passport (for non-Saudi applicants), in addition to any other relevant documents required by the Company to fulfill regulatory requirements. |
