Bupa Arabia for Cooperative Insurance announces the results of the sixth ordinary general assembly meeting to its shareholders which was held on Wednesday 29 Jumaada Al-Awal 1434H, corresponding to 10 April 2013G at 04:00 pm at the Elaf Hotel, Red Sea Mall Jeddah , under the Chairmanship of Chairman of the Board Eng. Loay Hisham Nazer and reached an attendance of (58.55%) of the total shares of the company's 40 million shares pursuant to article 91 of the Ministry of Commerce regulations and article 32 of the companys By-Laws. The agenda was thoroughly discussed and the results were a unanimous approval of the following:

Resolution (1): Approve the Board of Directors Report for the year ended 31/12/2012 G.

Resolution (2): Approve the Annual Financial Statements and the Auditors Report for the year ended 31/12/2012 G.

Resolution (3): Selection and Appointment of the external auditors as Ernst & Young and Deloitte & Touche to audit the companys accounts for the year ending 2013, and set the external auditors fees based on the Audit Committees recommendation.

Resolution (4): Approve the appointment of the new Board members representing the foreign shareholder:

1)Mr. Ignacio Peralta Gracia (non-Executive Member) replacing Mr. Dean Alan Holden,

2)Mr. James Gordon Wheaton (non-Executive Member) replacing Mr. Ignacio Ereno Iribarren,

3)Mrs. Elizabeth Alison Platt (non-Executive Member) replacing Mr. William Steven Ward,
