حصلت شركة اتحاد اتصالات (موبايلي)، بموجب قرار مجلس الوزراء رقم 189 بتاريخ 23 جمادى الآخرة 1425هـ (الموافق 10 أغسطس 2004م)، على رخصة إنشاء وتشغيل شبكة الهاتف المتنقل بجميع عناصرها وتقديم كافة خدماتها على المستوى المحلي والدولي من خلال شبكتها الخاصة. وحصلت الشركة على ترخيص موحد لتقديم كافة خدمات الاتصالات المرخصة بما في ذلك الخدمات الصوتية وخدمات الإنترنت بموجب قرار هيئة الاتصالات والفضاء والتقنية رقم 5125 بتاريخ 24 جمادى الأولى 1438هـ (الموافق 21 فبراير 2017م). يتمثل النشاط الرئيسي للشركة في إنشاء وتشغيل شبكة الاتصالات اللاسلكية المتنقلة وشبكات الألياف الضوئية وتمديداتها، وإدارة وتركيب وتشغيل شبكات الهاتف والأجهزة الطرفية وأنظمة وحدات الاتصالات بالإضافة إلى بيع وصيانة أجهزة الهاتف وأنظمة وحدات الاتصال وتقديم حلول تكنولوجيا المعلومات والأمن السيبراني وأمن المعلومات والذكاء الاصطناعي في المملكة العربية السعودية. بدأت الشركة عملياتها التجارية في 17 ربيع الثاني 1426هـ (الموافق 25 مايو 2005م).
Company History
تأسست شركة اتحاد اتصالات (موبايلي) كشركة مساهمة بموجب المرسوم الملكي الكريم رقم م/40 بتاريخ 02 رجب 1425هـ (الموافق 18 أغسطس 2004م)، وقد بدأت موبايلي أنشطتها التأسيسية بتاريخ 02 ذو القعدة 1425هـ (الموافق 14 ديسمبر 2004م)، وتم إدراج أسهمها في السوق المالية السعودية (تداول السعودية) بتاريخ 08 ذو القعدة 1425هـ (الموافق 20 ديسمبر 2004م). بدأت الشركة مزاولة نشاطها برأس مال بلغ 5 مليارات ريال سعودي، مقسمة إلى 100 مليون سهم بقيمة اسمية 50 ريال سعودي للسهم الواحد. وبموجب قرار مجلس هيئة السوق المالية رقم 4-154-2006 بتاريخ 27 صفر 1427هـ (الموافق 27 مارس 2006م)، وقامت الشركة بتجزئة السهم إلى 5 أسهم بقيمة اسمية 10 ريال سعودي للسهم الواحد، وبالتالي أصبح عدد الأسهم المصدرة 500 مليون سهماً. تم زيادة رأس مال الشركة إلى 7 مليارات ريال سعودي من خلال إصدار 200 مليون سهماً من أسهم حقوق الأولوية انتهى الاكتتاب بها بتاريخ 11 ذو القعدة 1429هـ (الموافق 09 نوفمبر 2008م). وفي تاريخ 30 صفر 1434هـ (الموافق 12 يناير 2013م)، وافقت الجمعية العمومية على توصية مجلس الإدارة بزيادة رأس مال الشركة من 7,000 مليون ريال سعودي إلى 7,700 مليون ريال سعودي موزعة على 770 مليون سهم، بقيمة اسمية 10 ريال سعودي للسهم الواحد.
