Dkhoun National Trading Company, the Company or Issuer, was established as a sole proprietorship under Commercial Registration No 1010292631 issued by the City of Riyadh on 19/08/1431 AH corresponding to 31/07/2010 AD, on 11/04/1433 AH corresponding to 04/03/2012 AD the sole proprietorship was converted into a limited liability company with a capital of SAR 500000 five hundred thousand Saudi riyals, on 06/11/1442 AH corresponding to 16/06/2021 AD the partners resolved to transform the company from a limited liability company to a closed joint stock company, the capital was increased from SAR 500000 to SAR 20000000 twenty million Saudi riyals by transferring SAR 19500000 nineteen million and five hundred thousand Saudi riyals from the retained earnings account to the capital account and converting the partners quotas into shares with a nominal value of SAR 10 ten Saudi riyals per share, the transformation was approved by Ministerial Resolution No 388 dated 18/11/1442 AH corresponding to 28/06/2021 AD and Ministerial Resolution No 399 dated 25/11/1442 AH corresponding to 05/07/2021 AD, the Companys current capital is SAR 20000000 twenty million Saudi riyals divided into 2000000 two million fully paid ordinary shares each with a nominal value of SAR 10 ten Saudi riyals
