Company overview
According to its Commercial Registration, the Companys activities are as follows: Own, establish and manage private general education pre university schools and invest in sports, recreation and sports clubs for school students.
Company History
The National Company for Learning and Education is a Saudi Joint Stock Company, conducts its business in Saudi Arabia in accordance with the Commercial Registration No 1010178851, dated 04/05/1423H (corresponding to 14/07/2002G), with its head office located in Riyadh. The Company was incorporated in 1378H (1958G), where it was established in the name of the Saudi Kindergarten for children. In 1379H (1959G) the name of the school was changed to the Tarbiya Namouthajiya Schools. In 1412H (1992G) a branch for sole proprietorship company was established under Commercial Registration No. 001/1010006017, dated 09/07/1412H with a capital of one million and two hundred thousand Saudi Riyals (SAR 1,200,000). Pursuant to the decision of the Minister of Commerce No. 346, dated 03 03 1423H corresponding to 15 05 2002G, the Company was transformed from a sole proprietorship company into a closed joint stock company. The Share Capital was raised in cash to one hundred and twenty two million seven hundred and eighty thousand Saudi Riyals SAR 122,780,000. The entire capital was subscribed in full through a private placement representing the net assets of the schools as reflected in the financial statements upon conversion including fixed and current assets. The Companys Share Capital was assessed at one hundred and twenty two million seven hundred and eighty thousand Saudi Riyals SAR 122,780,000 divided into two million four hundred and fifty five thousand and six hundred 2,455,600 Ordinary Shares with a par value of SAR 50 per Share paid in cash fully. On 24 05 1427H corresponding to 20 06 2006G, the Share Capital of the Company was increased to two hundred million Saudi Riyals SAR 200,000,000 by capitalizing the retained earnings and injecting cash. The Share Capital was raised again to three hundred million Saudi Riyals SR 300,000,000 on 05 05 1437H corresponding to 14 02 2016G, through capitalization of retained earnings and statutory reserve.
