تأسست شركة آفاق الغذاء المحدودة كشركة ذات مسؤولية محدودة بموجب عقد التأسيس رقم كشركة ذات مسؤولية محدودة والمقيدة بالسجل التجارى رقم 2051220421 وتاريخ 06/06/1439ه والصادر من الخبر ، والمثبت عقد تاسيسها لدى كاتب العدل برقم 39864333 وتاريخ 06/06/1439هـ وبرأس مال يبلغ واحد وثلاثون مليوناً وتسعة وثمانون ألفاً وأربعمائة وثمانون (31,089,480) ريال سعودى, مقسم إلى ثلاث ملايين ومائة وثمانية ألفاً وتسعمائة وثمانية وأربعون (3,108,948) حصه, بين السيد أحمد بن محمد بن حسين العرفج - سعودي الجنسية - وشركة الاستثمار الخليجية للأغذية (شركة ذات مسؤولية محدودة). و تم دخول شركة تبوك الزراعية كشريك جديد فى الشركة بموجب تعديل عقد التاسيس المثبت لدى كاتب العدل برقم 40708496 وتاريخ 20/04/1440هـ ، وذلك بتنازل الشريك أحمد بن محمد بن حسين العرفج عن كامل حصصه فى راس المال الى شركة تبوك الزراعية والتى تبلغ واحد وثلاثون ألفاً وتسعة وثمانون (31,089) حصة كما تنازلت شركة الاستثمار الخليجية عن عدد مليون وخمسمائة وثلاثة وعشرون ألفاً وثلاثمائة وخمسة وثمانون (1,523,385) حصة من اجمالي حصصها البالغة ثلاث ملايين وسبعة وسبعون ألفاً وثمانمائة وتسعة وخمسون ( 3,077,859) حصه لشركة تبوك للتنمية الزراعية بما لها من حقوق وما عليها من التزامات. وبتاريخ 29/10/1441ه (الموافق 21/06/2020م) تم دخول السيد أحمد بن محمد بن حسين العرفج كشريك من خلال تنازل شركة الاستثمار الخليجية للأغذية عن كامل حصصها فى رأس المال البالغة عدد مليون وخمسمائة وأربعة وخمسون ألفاً وأربعمائة وأربعة وسبعون (1,554,474) حصه إلى السيد أحمد بن محمد بن حسين العرفج بما لها من حقوق وما عليها من التزامات. بتاريخ 06/01/1443ه (الموافق 14/08/2021م) قرر الشركاء زيادة رأس المال من واحد وثلاثون مليوناً وتسعة وثمانون ألفاً وأربعمائة وثمانون (31,089,480) ريال سعودى إلى ثمانون مليون (80,000,000) ريال سعودى مع الاحتفاظ برقم واسم وتاريخ السجل التجاري. وبتاريخ 05/07/1443ه (الموافق 06/02/2022م) صدر قرار الشركاء المثبت لدى كاتب العدل بوزارة التجارة رقم 100010580 بالموافقة على تحول الشركة وفروعها من شركة ذات مسؤولية محدودة إلى مساهمة مقفلة وذلك بما لها من حقوق وما عليها من التزامات وتحول الحصص إلى أسهم تبلغ القيمة الاسمية للسهم (10) ريال. بتاريخ 29/07/1443هـ (الموافق 02/03/2022م) صدر قرار وزارة التجارة بالموافقة على إعلان تحول شركة افاق الغذاء من شركة ذات مسؤولية محدودة الى (شركة مساهمة مقفلة).
