| First: Conditions for Nomination to the Board of Directors The nominee must meet the criteria set out in the approved Policy and Standards for Board Membership (attached). The nominee must not simultaneously hold membership on the boards of more than five listed joint-stock companies. Second: Nomination Requirements for Membership of the Board of Directors Nomination applications must be submitted within the period specified in the announcement to the Chairman of the Nomination and Remuneration Committee, accompanied by all of the following documents: Complete and sign the Company’s nomination form (attached). Complete Form No. (1) – Curriculum Vitae (attached). Complete and sign Form No. (3) issued by the Capital Market Authority (CMA) for nomination to the Board of Directors (attached). The nominee’s CV, including information about their profession, current primary position, qualifications, and experience in the Company’s field of business. A statement specifying the number and dates of the nominee’s memberships on the boards of directors of joint-stock companies, as well as the committees on which the nominee currently serves or has previously served. A statement of the companies or institutions in which the nominee participates in management or ownership and which conduct activities similar to those of the Company, together with disclosure of any conflicts of interest, in accordance with the procedures prescribed by the CMA, including: a. Any direct or indirect interest in the businesses and contracts carried out on behalf of the Company. b. Participation in any business that may compete with the Company, or compete with it in any of the business activities it conducts. A clear copy of the nominee’s national ID (or Iqama/residency permit or passport for non-Saudis), including the nominee’s contact details. The nominee must specify the type of Board membership for which they are applying, i.e., Executive, Non-Executive, or Independent. The nominee must specify the capacity in which they are being nominated, i.e., whether they are applying as a shareholder or are nominated by a shareholder, in which case the name of the nominating shareholder must be stated. In all cases, the nominee must be a natural person. All documents and certificates supporting the information provided in the nomination application must be submitted in Arabic. The Company will review the nomination applications it receives. Voting at the General Assembly for the newly created Board seats in the current term will be limited to candidates who meet the conditions, requirements, and criteria specified in this announcement. The Company also wishes to clarify that cumulative voting will be used to elect Board members for the newly created seats. |
